Terms of Service
These Terms of Service ("Terms") are an agreement between you and Hardyproof, LLC ("Hardyproof", "we", "us"). They cover your use of our website, job request forms, customer request pages, business inbox, documents and related tools (the "Service"). By using the Service, or by clicking to agree, you accept these Terms and our Privacy Policy. If you use the Service for a business, you accept these Terms for that business and confirm you have the authority to do so.
The short version. Hardyproof gives contractors ("Businesses") tools to receive job requests, send quotes, proposals, invoices and receipts, and show customers how to pay. The work, the prices and any agreement for the work are between the Business and its customer. Hardyproof never receives or holds anyone's money.
1. Accounts
- You must be at least 18 and able to form a binding contract.
- Give accurate information and keep it current. Keep your password private. You are responsible for activity on your account, including by people you invite.
- The account owner controls who is invited, their roles, and what employees can see.
- Tell us right away if you think your account has been used without permission.
2. Free trial, plans and fees
- Trial. New Businesses may get a free trial (currently 30 days). There is no charge during the trial and no charge after it unless you choose a paid plan.
- Plans. Plan features, limits (such as logins, storage and how long jobs stay in your inbox) and prices are shown on our website or agreed with you in writing. Yearly plans are paid in advance.
- Payment. Fees are due in advance for each billing period by the method we agree with you. Fees do not include taxes; you are responsible for any taxes that apply.
- Price changes. We may change prices or plans with at least 30 days' notice. Changes apply from your next billing period.
- Late payment. If a payment is late, we may remind you, and after 7 days we may place your account in read-only mode, where your request form stops taking new requests but you can still sign in and export your data, until payment is made.
- Refunds. Except where required by law, fees are not refundable, including for partial periods.
3. Cancellation
You may cancel at any time. Cancellation takes effect at the end of your current paid period, and you will not be charged again. Before or at cancellation you may request a full export of your jobs, customers and documents. We may suspend or end your access if you break these Terms, fail to pay, or use the Service in a way that could harm others or us. Where reasonable we will tell you first and give you a chance to fix the problem.
4. Payments between Businesses and their customers
Pay buttons and payment details on request pages, invoices and receipts point to services such as Venmo and Zelle, or to cash or check paid to the Business. Hardyproof does not process, receive, hold or transfer those payments and is not a party to them. Payments recorded in the Service are records the Business enters. Disputes about payments are between the Business, its customer and the payment service.
5. The Business's responsibilities
If you use the Service as a Business, you are solely responsible for:
- Your work, prices, estimates, proposals, invoices, warranties and customer service.
- Holding any licenses, registrations, permits and insurance your work requires, and not claiming credentials you do not have (for example "licensed" or "insured") in anything you publish through the Service.
- Following the laws that apply to your business, including consumer protection, home improvement contracting, advertising, tax, and privacy laws.
- Messages you send customers, including texts and emails sent from your own phone or email account. Only contact customers who asked you to, and follow the laws on calls and text messages.
- The personal information of your customers that you collect and use through the Service. Use it only to serve those customers and as described in our Privacy Policy.
- The accuracy of what you and your team enter, including prices, scope of work and payment records.
6. Customers of a Business
If you send a job request through a Business's form, your request goes to that Business. Any agreement for work, including a proposal you accept online, is between you and the Business. Hardyproof does not perform, supervise or guarantee any work, and is not responsible for the quality, safety, timing or price of any work, or for anything a Business says or does. Accepting a proposal by typing your name is an electronic signature: you agree to use electronic records and signatures with that Business.
7. Your content
You keep ownership of the information, photos, documents and other content you or your customers submit ("Your Content"). You give Hardyproof a limited permission to store, copy, display, translate, convert (for example into PDF) and transmit Your Content only as needed to provide and improve the Service, to keep backups and records, and as described in the Privacy Policy. You confirm you have the right to submit Your Content and that it does not break the law or anyone's rights.
8. Acceptable use
Do not use the Service to:
- Break the law, mislead customers, or impersonate a person or business.
- Send spam or unwanted messages, or collect information about people without permission.
- Upload malware or content that is illegal, hateful, or infringes others' rights.
- Try to access accounts, data or systems that are not yours, interfere with the Service, or get around its limits or security.
- Copy, resell or build a competing service from the Service without our written permission.
9. Our service and changes
Hardyproof, its software, design and branding belong to Hardyproof. These Terms do not give you any ownership of them. We may improve, change or remove features. If a change significantly reduces a paid plan, we will tell you and you may cancel. We may set reasonable limits on storage and use as described in your plan.
10. Availability and data
We work to keep the Service available and to keep regular backups, but the Service may sometimes be interrupted for maintenance, updates or reasons outside our control. You are responsible for keeping your own copies of records you need, and you may export your data as your plan allows. We keep and archive data as described in the Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, Hardyproof disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise the Service will be uninterrupted, error-free or secure, or that translations, documents or calculations will be error-free. You are responsible for checking documents before sending them.
12. Limitation of liability
To the fullest extent the law allows, Hardyproof will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Hardyproof's total liability for all claims relating to the Service will not exceed the greater of the amount you paid Hardyproof in the 12 months before the claim or $100. Some places do not allow these limits, so they may not apply to you.
13. Indemnity
If you use the Service as a Business, you will defend and hold Hardyproof harmless from claims, losses and costs (including reasonable legal fees) arising from your work, your dealings with your customers, Your Content, your messages, or your breach of these Terms or the law.
14. Disputes and governing law
Please contact us first; most problems can be solved quickly. These Terms are governed by the laws of the State of Virginia, without regard to its conflict of laws rules, and any dispute will be handled in the state or federal courts located in Virginia, unless the law where you live requires otherwise.
15. Changes to these Terms
We may update these Terms. We will change the effective date above and, for significant changes, notify Businesses by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
16. Other
These Terms and the Privacy Policy are the whole agreement between you and Hardyproof about the Service. If part of these Terms cannot be enforced, the rest stays in effect. Not enforcing a part of these Terms is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, sale or reorganization.
